LEGAL

Effective September 12, 2026 · Applies to slicey.ai, app.slicey.ai and the Slicey API

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and Slicey (“Slicey”, “we”, “us”, “our”). They govern your use of the slicey.ai website, the customer dashboard at app.slicey.ai, the Slicey API, and every product and service we provide (together, the “Services”).

By creating an account, placing an order, using the API or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a company, you confirm that you have authority to bind that company, and “you” means that company.

If you do not agree to these Terms, do not use the Services.

2. The Services

Slicey provides cold email sending infrastructure, which may include: registering and configuring domains, or configuring domains you bring to us, provisioning Microsoft 365 or Google Workspace tenants and mailboxes on those domains, supplying pre-warmed inboxes on aged domains, connecting mailboxes to third-party email sequencing platforms, monitoring deliverability, and replacing or repairing infrastructure that stops working.

We may add, change or discontinue features at any time. We will give reasonable notice of changes that materially reduce the Services you are paying for.

3. Eligibility and accounts

  • You must be at least 18 years old and use the Services for business purposes only.

  • You must provide accurate, complete information and keep it up to date. Ordering through the guest checkout on our website creates an account for the email address you provide.

  • You are responsible for everything that happens under your account, including activity by team members, contractors and anyone who uses your credentials, API keys or mailboxes.

  • Keep your password, API keys and mailbox credentials confidential and notify us immediately of any unauthorised use.

  • We may refuse, suspend or close accounts at our discretion, including accounts we believe are being used for abuse, fraud or in violation of these Terms.

4. Orders, provisioning and delivery

  • An order is accepted when payment is received. Provisioning then begins automatically, and domains, licences and tenants are purchased or allocated on your behalf.

  • Delivery times are estimates. New mailboxes typically need a two-week warmup period before they are ready for outreach, and pre-warmed inboxes are assigned from available stock at the time of purchase.

  • Where a requested domain, name or tenant is unavailable, we may substitute an equivalent alternative. Where stock is exhausted, we may hold your order until stock is replenished.

  • Some products, including certain Google Workspace setups, are fulfilled manually and may require additional information from you. Delays caused by missing or incorrect information from you are not our responsibility.

  • Mailbox and tenant details, including credentials, are delivered in the dashboard. Keep them secure.

5. Domains

  • Domains we register for you are registered and managed through our registrar accounts for the duration of your subscription. You receive exclusive use of those domains for outreach while your subscription is active and in good standing.

  • On request, and subject to registrar rules, transfer locks and any applicable transfer fee, we may transfer a domain we registered to your own registrar account. We are not obliged to transfer domains associated with unpaid balances or abuse.

  • When your subscription ends, domains we registered may be released, retained or reused by us. Renew before the end of your billing period if you want to keep them.

  • If you bring your own domain, you confirm that you own or control it and you authorise us to change its DNS records, add it to Microsoft or Google, and make other changes needed to provide the Services.

  • Domain names must not infringe trademarks or impersonate any person or organisation.

6. Acceptable use

You are solely responsible for the email you send, the people you send it to, and the content of your campaigns. You agree that you will:

  • Comply with all laws that apply to your sending, including the CAN-SPAM Act, the GDPR and UK GDPR, PECR, CASL and any other anti-spam, privacy or telemarketing law in the countries you send to, including honouring unsubscribe requests promptly.

  • Comply with the acceptable use policies and terms of Microsoft, Google and every sending platform you connect.

  • Not send phishing, malware, scams, deceptive or misleading messages, or content that is illegal, defamatory, hateful, harassing, sexually explicit or that promotes violence.

  • Not impersonate any person, company or brand, spoof headers, or use misleading sender names or subject lines.

  • Not send to lists you have obtained illegally, and not send unsolicited email that a reasonable person would consider spam.

  • Not exceed the sending limits we or the mailbox provider set, or attempt to circumvent warmup, throttling, monitoring or security controls.

  • Not attempt to access tenants, mailboxes, domains or data that do not belong to your account, and not probe, scan or test the vulnerability of the Services.

  • Not resell, sublicense or share mailboxes or access to the Services with third parties unless we agree in writing.

We may monitor usage for compliance. If we believe your use violates this section, threatens the reputation of our infrastructure or exposes us to liability, we may suspend or terminate mailboxes, domains or your entire account immediately.

7. Third-party platforms

The Services depend on third parties we do not control, including Microsoft, Google, domain registrars, DNS providers, proxy providers and the sending platforms you connect. Those providers may change their products, enforce their own policies, throttle or suspend accounts, or terminate service at any time. We are not responsible for their actions, outages or decisions. Your use of those platforms is governed by their own terms.

8. Deliverability and performance

Cold email results depend on many factors outside our control, including your lists, copy, sending volumes, targeting, reply handling, and the policies of mailbox providers and recipient servers. We therefore do not guarantee inbox placement, open rates, reply rates, sending volumes, domain reputation, that mailboxes will never be flagged, blocked or suspended, or any particular business outcome.

Deliverability monitoring and automatic replacement of failing infrastructure are provided on a best-effort basis. Any statistics we show are derived from data reported by your sending platform and may be delayed or incomplete.

9. Fees, billing and renewal

  • Prices are shown at checkout and in the dashboard. Fees are charged in US dollars and are exclusive of taxes, which we may add where required.

  • Subscriptions are billed in advance per domain or per inbox on a recurring monthly basis, and renew automatically until cancelled. One-time fees, such as setup fees or domain purchases, are charged at the time of the order.

  • You authorise us and our payment processor, Stripe, to charge your payment method for all fees when due, including renewals.

  • You can cancel at any time from the dashboard or billing portal. Cancellation stops future renewals. The Services remain available until the end of the period already paid for.

  • If a payment fails, we may retry it and suspend or decommission the affected mailboxes and domains until payment is received. Infrastructure removed for non-payment may not be recoverable.

  • We may change prices with at least 30 days’ notice by email or through the dashboard. Changes apply from your next renewal.

  • Disputing a valid charge with your bank or card issuer instead of contacting us is a breach of these Terms. We may suspend your account while a dispute is open and recover any amounts owed, including fees.

10. Term, suspension and termination

  • These Terms apply for as long as you have an account or use the Services.

  • You may stop using the Services and cancel your subscriptions at any time.

  • We may suspend or terminate your access immediately if you breach these Terms, if required by law or a provider, if your use creates risk to our infrastructure or other customers, or if your account is inactive with no active subscription for an extended period.

  • On termination, your right to use the Services ends, mailboxes and tenants are decommissioned, domains we registered are handled under section 5, and data inside the mailboxes is deleted. Amounts owed remain payable.

  • Sections that by their nature should survive termination, including fees owed, disclaimers, limitation of liability, indemnification and governing law, survive.

11. Intellectual property and feedback

Slicey and its licensors own the Services, including the website, dashboard, API, software, documentation, designs and trademarks. We grant you a limited, non-exclusive, non-transferable licence to use the Services for your business during your subscription. You may not copy, modify, reverse engineer, scrape or create derivative works of the Services, or use our name or marks without written permission.

You own your campaign content and data. You grant us the rights needed to host, process and transmit it in order to provide the Services. If you send us feedback or suggestions, we may use them without obligation to you.

12. Data and privacy

Our Privacy Policy explains how we handle personal data and forms part of these Terms. Where you send personal data through infrastructure we provide, you are the controller and we act as your processor. You are responsible for having a lawful basis to contact your recipients and for handling their requests.

13. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Services will be uninterrupted, error-free, secure, or produce any particular result.

14. Limitation of liability

To the fullest extent permitted by law, Slicey and its owners, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

Our total liability for all claims arising out of or related to the Services or these Terms will not exceed the amount you paid us for the Services in the three months before the event giving rise to the claim. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

15. Indemnification

You will defend, indemnify and hold harmless Slicey and its owners, employees, contractors and suppliers from any claims, damages, losses, fines and expenses, including reasonable legal fees, arising out of or related to your campaigns, your content, your recipients, your violation of any law or third-party right, or your breach of these Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at [email protected] and to work with us in good faith for at least 30 days to resolve the dispute.

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.

17. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and update the effective date. If the changes are material, we will also notify you by email or through the dashboard before they take effect. Continuing to use the Services after a change takes effect means you accept the updated Terms.

18. General

  • These Terms, together with the Privacy Policy and any order you place, are the entire agreement between you and Slicey about the Services and replace any prior agreements.

  • You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.

  • If any provision is found unenforceable, the rest of the Terms remain in effect.

  • Our failure to enforce a provision is not a waiver of our right to enforce it later.

  • We are not liable for delays or failures caused by events outside our reasonable control, including provider outages, changes in provider policy, or actions of governments.

  • Notices to you may be sent to the email address on your account. Notices to us should be sent to [email protected].
